Zhibao Technology and Bedrock Explore Tokenized Nasdaq Shares and Bitcoin Treasury Yield

Zhibao Technology (NASDAQ: ZBAO) and Bedrock have signed a non-binding framework to explore tokenizing SEC-registered shares on-chain, deploying 2,380 BTC into liquid restaking, and building a KYC-compliant DeFi integration layer. The deal signals a deeper convergence between listed equities and decentralized finance.

Zhibao Technology and Bedrock Team Up to Bridge Public Equities and DeFi

Zhibao Technology (NASDAQ: ZBAO) has signed a strategic cooperation framework agreement with Bedrock, a multi-asset liquid restaking protocol, to jointly explore three interconnected initiatives: on-chain tokenization of its SEC-registered Class A common shares, yield generation on its corporate Bitcoin treasury, and a compliance-first DeFi integration layer. The agreement is non-binding, with definitive contracts expected within the next 12 months, subject to approvals from the U.S. SEC, Nasdaq, and Chinese regulators.

Tokenized Equity With Full Shareholder Rights

The most ambitious prong of the collaboration envisions issuing Zhibao’s Class A common stock natively on a public blockchain at the transfer-agent level. Unlike synthetic or wrapped equity products, this structure is designed to preserve full voting rights, dividend entitlements, and other shareholder protections as a true real-world asset (RWA). If executed, it would represent a meaningful step beyond the tokenized treasury funds and private credit vehicles that currently dominate the RWA landscape.

Putting 2,380 BTC to Work

Zhibao holds approximately 2,380 BTC. Under the framework, the company would evaluate deploying a portion of that treasury into Bedrock’s liquid restaking infrastructure via uniBTC, paired with a Chainlink-compatible proof-of-reserves mechanism. This would allow the company to earn restaking yield while maintaining transparent, verifiable custody — a model that could appeal to other listed companies sitting on idle Bitcoin balances.

A Compliance Layer for Continuous Settlement

The third pillar focuses on designing a KYC, AML, and sanctions-screening framework that would let tokenized shares interact with issuer-approved decentralized applications, enabling 7×24 continuous settlement. Zhibao also plans to leverage its AI-driven insurtech platform and reinsurance subsidiary to offer embedded insurance covering custody, smart contract, and oracle risks within the restaking ecosystem.

Why It Matters

Public companies have largely approached crypto through treasury purchases or ETF exposure. Zhibao’s framework suggests a more integrated path: tokenized equity, productive Bitcoin, and DeFi rails wrapped in regulated compliance. The hurdles are substantial — securities law, transfer-agent mechanics, and cross-border regulatory sign-off — but the direction of travel is clear. If even part of this framework reaches production, it would offer a template for how listed firms can converge with decentralized finance without abandoning their regulatory obligations.
