Binance.US Seeks $100M at $1B Valuation to Rebuild After Regulatory Settlement

Binance.US is reportedly seeking $100 million in new funding at a $1 billion valuation, aiming to rebuild market share lost after Binance's 2023 U.S. settlement. The raise would test whether investors believe a rehabilitated U.S. exchange can compete with Coinbase and Kraken in a thawing regulatory climate.

Binance.US Eyes $100M Raise at $1B Valuation

Binance.US is reportedly seeking to raise $100 million in a potential funding round at a $1 billion valuation, with the exchange planning to deploy fresh capital toward reclaiming market share lost after Binance’s 2023 settlement with U.S. authorities.

The move marks one of the most significant attempts by a U.S.-facing crypto exchange to reset its trajectory following a bruising two-year stretch of enforcement actions, banking partner exits, and a sharp decline in domestic trading volumes.

Why This Raise Matters

The valuation target is notable for what it signals rather than its absolute size. A $1 billion mark would place Binance.US well below its peak implied worth during the 2021–2022 bull market, when the global Binance brand commanded valuations in the tens of billions. It also positions the U.S. entity as a mid-tier player relative to Coinbase, Kraken, and the newly public contenders in the American exchange landscape.

Still, the raise would provide a critical lifeline. Since the 2023 settlement — which included a multi-billion dollar penalty on the global exchange and the departure of founder Changpeng Zhao — Binance.US has operated under heightened compliance scrutiny, lost key banking relationships, and seen its market share erode as institutional and retail users migrated to competitors.

The Regulatory Backdrop

The timing is not accidental. U.S. crypto regulation has shifted meaningfully over the past year, with a more accommodative posture from federal agencies, clearer guidance on custody and listing standards, and a wave of bank re-engagement with digital asset firms. For Binance.US, this thaw represents a rare window to re-enter conversations with institutional investors and liquidity providers who had previously blacklisted the platform.

  • Compliance rebuild: A portion of the capital is likely earmarked for compliance infrastructure, surveillance tooling, and licensing.
  • Liquidity incentives: Market-making programs and fee rebates could be used to lure back trading volume.
  • Product expansion: Re-listing a broader set of tokens and potentially offering staking or derivatives could differentiate the platform.

Forward-Looking Perspective

Whether Binance.US can convert capital into market share is an open question. U.S. traders have grown accustomed to Coinbase’s regulatory clarity, Kraken’s product depth, and a new generation of brokerages that blend crypto with traditional securities. Rebuilding trust after a settlement is slower than rebuilding a balance sheet.

If the round closes at or near the $1 billion target, it would send a powerful signal that investors believe the U.S. crypto exchange market still has room for a rehabilitated Binance.US. If it stalls, it may confirm that reputational damage in crypto is more durable than any regulatory thaw.
