Strive Files for $1B ATM Offering of 15% SATS Preferred Stock

Strive, Inc. filed for a $1 billion at-the-market offering of its 15% Series A Perpetual SATS Preferred Stock, with a consortium of banks as sales agents. The high-yield instrument, already trading below par, includes an 18-month dividend reserve and investor protections, reflecting both opportunity and risk in crypto-linked capital raises.

Strive Expands Capital Raise with $1 Billion ATM Program for High-Yield Preferred

Strive, Inc. has filed a prospectus supplement with the U.S. Securities and Exchange Commission for an at-the-market (ATM) offering of up to $1 billion in 15.00% Series A Perpetual SATS Preferred Stock. The filing, made on October 26, lists Cantor Fitzgerald, Barclays, Clear Street, StoneX, B. Riley, Maxim Group, and H.C. Wainwright as sales agents, with commissions capped at 2.0% of gross proceeds. The SATS preferred shares trade on the Nasdaq Global Market and closed at $94.88 on October 23, below the $100 initial liquidation preference.

Structural Details and Dividend Coverage

The offering adds to the 7 million SATS preferred shares already outstanding, with identical terms. The stock carries a 15% annual cumulative dividend on the $100 par value. To cover distributions, Strive established a dividend reserve at its October 20 IPO closing, depositing $22.50 per share—enough to fund the first 18 months of payments. The company retains the right to redeem all shares if outstanding shares fall below 25% of total issued or upon a “tax event.” Holders can require repurchase at par plus accrued dividends in a “fundamental change.”

Market Implications and Yield Appeal

The ATM program underscores Strive’s aggressive push to raise capital amid a challenging environment for crypto-focused equities. A 15% yield is unusually high for a perpetual preferred, signaling elevated risk perception and the company’s need to attract income-focused investors. The discount to par suggests market skepticism about the issuer’s credit quality or the sustainability of such a payout. Nonetheless, the dividend reserve provides near-term comfort, and the ATM mechanism offers flexibility to sell shares opportunistically.

Forward-Looking Perspective

Strive’s move reflects a broader trend of crypto-linked companies tapping hybrid securities to bolster balance sheets without diluting common equity. If the ATM is fully utilized, it could significantly expand Strive’s capital base, but the high coupon will weigh on cash flows. Investors should watch for updates on the company’s asset management strategy and whether the preferred’s trading price converges toward par as confidence improves. The structure also includes investor protections—repurchase rights on fundamental changes—that may appeal to risk-averse buyers. However, with shares already trading below par, the success of the offering will depend on demand for high-yield paper in a volatile rate environment.
