Strategy Shareholders Approve Daily Dividend Amendment for Preferred Stocks, STRC to Lead on November 1

Strategy shareholders approved a daily dividend amendment for its four preferred stock series with 99.3% support. STRC will implement the new schedule first, with the initial record date on November 1 and payment on November 2, while the other series follow in January 2026. The move aims to enhance the appeal of preferred stocks to income-focused investors.

Strategy Shareholders Overwhelmingly Approve Daily Dividend Amendment

Michael Saylor, founder and chairman of Strategy (formerly MicroStrategy), announced that MSTR shareholders have approved a daily dividend amendment for the company’s four preferred stock series: STRF, STRC, STRK, and STRD. Preliminary results show 99.3% of votes cast in favor, underscoring strong shareholder support for the change.

Under the new rules, dividends will accrue on every calendar day, with each day serving as a dividend record date. Payments will be made on the next business day. STRC will be the first to implement the new schedule, with its first record date on November 1 and payment on November 2. The other three series—STRF, STRK, and STRD—will follow on January 1, 2026, with payment on January 4.

Implications for Strategy and the Broader Market

The move to daily dividend accrual is a significant shift for preferred stockholders, who traditionally receive dividends on a quarterly or monthly basis. By aligning dividend accrual with each calendar day, Strategy enhances the appeal of its preferred securities to income-focused investors and potentially increases their liquidity and price stability. This is particularly relevant for STRC, which is designed to offer a stable yield and is often compared to a savings account on the Bitcoin standard.

Strategy has become a de facto Bitcoin holding company, with its common stock (MSTR) serving as a leveraged proxy for Bitcoin exposure. The preferred series were introduced to raise capital without diluting common shareholders and to cater to different risk appetites. The daily dividend feature could attract more institutional and retail investors seeking predictable income streams, especially in a low-yield environment.

Moreover, the overwhelming approval (99.3%) reflects strong confidence in Saylor’s capital allocation strategy. The company has consistently used proceeds from equity and preferred offerings to accumulate Bitcoin, and the preferred dividends are serviced through cash flows and potentially additional capital raises. The daily accrual mechanism may also simplify accounting and reduce administrative overhead over time.

Forward-Looking Perspective

The implementation of daily dividends for STRC starting November 1 will be closely watched by market participants. If successful, it could set a precedent for other crypto-related companies to structure their preferred offerings similarly. For Strategy, the move may enhance the attractiveness of its preferred stocks, potentially lowering its cost of capital for future Bitcoin purchases.

However, investors should note that daily dividends do not change the underlying risk profile of the preferred stocks, which remain sensitive to Bitcoin price volatility and the company’s overall financial health. As the crypto market matures, innovative financial engineering like this could become more common, blending traditional dividend policies with the dynamic nature of digital asset exposure.
