Anthropic’s $2 Trillion IPO in Jeopardy as AI Selloff Deepens

Anthropic is aiming for a mid-November IPO at a valuation of up to $2 trillion, but a sharp AI stock selloff and a tight SEC filing deadline are raising doubts about whether the listing will proceed on schedule. The company's massive capital needs may ultimately push it to go public despite the market turbulence.

Anthropic’s Record IPO Bid Faces Mounting Market Headwinds

Anthropic, the AI startup behind the Claude chatbot, is racing against the clock to complete what could be the largest tech IPO in history, targeting a mid-November listing at a valuation of up to $2 trillion. But a sharp selloff in AI-related stocks is clouding the outlook, and the company’s window to file its S-1 prospectus is narrowing fast.

Under SEC rules, a company must publicly file its S-1 at least 15 days before launching a roadshow. To list by November 24 and start the roadshow on November 16, Anthropic would need to file by the end of next week. The company had been expected to disclose its prospectus shortly after Labor Day, aiming for a late-September debut, but that plan did not materialize.

Market Backdrop Deteriorates

The AI trade has come under pressure. Cloud computing firm CoreWeave has tumbled about 30% in two weeks on concerns over its debt management, while memory chip giant Micron has fallen 17% over the past month. The declines reflect growing skepticism about the sustainability of AI spending and financing conditions.

“Historically, the combination of slowing growth and elevated inflation has been a precursor to cracks in the stock market,” said Joe Tigay, portfolio manager at Rational Equity Armor Fund. “If these pressures continue to build, Anthropic would have every reason to stay private and wait for a better window.”

Others argue that a successful Anthropic IPO is critical for market confidence. “It’s reasonable to question, even to doubt,” said Jim Lebenthal, chief market strategist at Cerity Partners. “But the health of the broader stock market and the U.S. economy depends heavily on the success of the AI industry.”

Capital Needs May Trump Market Timing

Despite the turbulence, Anthropic’s pressing need for capital may push it to proceed. The company’s draft prospectus reportedly shows AI compute spending that could reach $750 billion over the coming years, alongside a net loss of more than $80 billion in the first half of 2026 on revenue of $16.3 billion—a loss driven largely by accounting adjustments rather than operational deterioration.

“The largest AI companies have shown they are willing to spend aggressively to capture users and become the dominant player,” said Andrew Rocco, equity strategist at Zacks Investment Research. “Anthropic will push for the IPO because it genuinely needs the capital, especially if private-market financing becomes harder to secure.”

Prediction markets currently assign about an 80% probability to Anthropic listing before the end of the year.

Key Takeaways for Investors

  • IPO timing is tight but feasible: A filing by next weekend is required to meet a November 24 listing date; any delay pushes the debut into 2025.
  • AI sentiment is fragile: The selloff in CoreWeave and Micron signals investors are rethinking AI capex and leverage, which could pressure Anthropic’s valuation.
  • Capital needs are acute: Massive compute commitments and private-market caution make a public listing the most realistic funding path.
  • Watch the S-1: The filing will reveal revenue quality, loss drivers, and compute obligations—key data points for valuing the entire AI sector.
