Tokenized Stocks: The Five Reasons Equities Are Moving On-Chain

An investor at YZi Labs outlines five structural reasons equities are moving on-chain, from instant settlement to DeFi composability, while flagging the rights gap between tokens and real shares. The analysis identifies three startup opportunities in issuance, arbitrage, and distribution as tokenized stocks emerge as the next RWA frontier.

Tokenized Stocks: The Five Reasons Equities Are Moving On-Chain

An investor at YZi Labs has laid out a detailed case for why publicly traded equities are migrating onto blockchain rails, outlining five structural drivers and three categories of startup opportunity. The analysis arrives as tokenized real-world assets (RWAs) cross record highs, with equities emerging as the next frontier after Treasuries and private credit.

Why Equities Are Heading On-Chain

The core argument rests on five pillars. First, settlement efficiency: traditional equity settlement still runs on T+1 or T+2 cycles, while tokenized shares can clear near-instantly, 24/7. Second, fractional ownership lowers the barrier for retail investors in high-priced stocks. Third, composability allows tokenized equities to plug directly into DeFi protocols as collateral, in yield strategies, or in structured products. Fourth, global access bypasses the fragmented brokerage and custody infrastructure that locks out many non-US investors. Fifth, programmable compliance — transfer restrictions, whitelisting, and dividend logic — can be encoded at the token level.

The Rights Gap: Tokens vs. Real Shares

The analysis is careful to distinguish between tokenized shares and the underlying equity. Token holders may not receive voting rights, may hold a claim on a special-purpose vehicle rather than the issuer itself, and may face different treatment in bankruptcy or corporate actions. This gap creates arbitrage opportunities: when token prices diverge from the reference equity — due to liquidity premiums, redemption frictions, or market hours mismatch — sophisticated traders can capture the spread. These dislocations also expose the immaturity of current pricing mechanisms.

Three Startup Opportunities

The investor identifies three venture themes. The first is issuance and custody infrastructure — compliant rails for brokers and issuers to mint and redeem tokenized shares. The second is market-making and arbitrage tooling that keeps token prices tethered to their underlying equities. The third is consumer-facing distribution: wallets, brokerages, and apps that abstract away the complexity of bridging TradFi and DeFi.

Outlook

Tokenized equities remain a regulatory gray zone in most jurisdictions, and the SEC’s posture toward security tokens will shape how quickly the model scales. Yet the direction of travel is clear. As settlement infrastructure modernizes and DeFi demands more diverse collateral, the line between a stock and a token will keep blurring. The winners will be those who solve compliance and liquidity simultaneously — not those who merely wrap a ticker in a smart contract.
