Franklin Templeton Closes Landmark $1.5B CFO Deal

On August 21, asset management giant Franklin Templeton announced the successful closing of its first collateralized fund obligation (CFO) — the Franklin Templeton Structured Solutions 2026, L.P. The vehicle raised $1.5 billion from global investors, with Evercore serving as structuring advisor and placement agent, and Simpson Thacher & Bartlett LLP as legal counsel.

This marks a significant milestone for Franklin Templeton, which has been actively expanding its private markets footprint. The CFO structure, similar to a collateralized loan obligation (CLO), pools a portfolio of private equity and private credit fund interests and issues tranches of debt and equity to investors. This allows institutional investors to gain diversified exposure to private markets while providing liquidity through a securitized structure.

Bridging Traditional Finance and the Tokenized Future

While the CFO itself is not a blockchain-based product, Franklin Templeton has been a pioneer in tokenizing real-world assets (RWA). The firm launched the OnChain U.S. Government Money Fund (FOBXX) in 2021, which uses the Stellar blockchain and is now also available on other chains. The firm’s CEO, Jenny Johnson, has publicly discussed the potential of tokenization to improve efficiency and transparency in funds.

The $1.5B CFO raise signals that Franklin Templeton is serious about private markets and is leveraging its expertise in structured finance. The firm’s parallel investments in blockchain infrastructure suggest that future versions of such products could be tokenized, enabling fractional ownership, 24/7 trading, and programmable compliance.

Industry Implications: A Growing Appetite for Private Market Liquidity

The successful raise comes amid a broader trend of asset managers seeking to democratize access to private assets. Traditional private equity and credit funds have long lock-up periods and high minimums, which limit participation. Securitization via CFOs offers a way to create more liquid, rated instruments from these illiquid assets.

For the RWA ecosystem, Franklin Templeton’s move validates the concept that traditional financial instruments can be re-engineered with new technology. The firm has already tokenized money market funds, and now it is applying structured finance to private markets. This could pave the way for tokenized CFOs, where blockchain-based tokens represent interests in the underlying fund portfolio, making them tradeable on secondary markets.

As Franklin Templeton continues to bridge TradFi and DeFi, we can expect more products that combine securitization with tokenization.
