Ondo Finance Expands RWA Playbook Into Private Markets

Ondo Finance has unveiled Ondo Private Markets, a platform that uses tokenized notes to give eligible investors economic exposure to private companies. The first product, expected to go live this week, references a pre-IPO artificial intelligence company, extending tokenization beyond the Treasury bills and money market funds that have dominated the real-world asset sector to date.

The move places Ondo in direct competition with a small but growing cohort of platforms — including Republic’s note offerings and several SPV-based structures — that are attempting to compress the traditionally illiquid, high-minimum private equity access model into blockchain rails.

Why Private Markets Are the Next RWA Frontier

Tokenized Treasuries grew quickly because the underlying asset is standardized, liquid and easy to custody. Private company exposure is the opposite: valuations are periodic and subjective, transfer restrictions are contractual, and secondary liquidity is thin or nonexistent. Ondo’s use of tokenized notes — rather than direct equity tokens — is a telling design choice. It suggests the platform is prioritizing regulatory comfort and structuring flexibility over the promise of permissionless, freely transferable ownership.

That framing matters for how the product will be judged. If the notes function as yield-bearing instruments tied to a reference entity rather than as equity, the offering may sidestep some of the securities-law friction that has slowed equity tokenization. It also means investors are taking counterparty and structuring risk, not just exposure to the underlying company.

What the AI Angle Signals

Choosing a pre-IPO AI company as the debut reference asset is deliberate. AI remains the most sought-after private-market theme, with late-stage valuations that most accredited and retail-adjacent investors cannot access directly. Tokenization offers a distribution channel into that demand — provided eligibility gates, transfer limits and disclosure standards hold up under scrutiny.

What to Watch

  • Whether Ondo discloses the reference company, valuation methodology and note terms, or keeps the structure opaque.
  • How secondary transfer is handled — restricted, gated, or genuinely open.
  • Whether regulators treat tokenized private-market notes as a distinct category requiring new guidance.

Ondo’s expansion is a bet that the next phase of RWA growth runs through assets that are hard to tokenize well. If it works, private markets become a durable vertical. If disclosure and liquidity fall short, the product risks becoming a wrapper that adds cost without adding access.
