AI Giants’ Off-Balance-Sheet Liabilities Surge to $4.1 Trillion in 90 Days

Off-balance-sheet commitments of major AI and cloud companies have surged by nearly $1 trillion in 90 days to $4.11 trillion, raising concerns about hidden leverage and triggering market sell-offs. With rating agencies divided and credit markets reacting, investors face growing risks.

AI Giants’ Off-Balance-Sheet Liabilities Surge to $4.1 Trillion in 90 Days

In the span of just 90 days, the off-balance-sheet commitments of the world’s largest AI and cloud computing companies have swelled by nearly $1 trillion, reaching a staggering $4.11 trillion. This figure, compiled from disclosures by Alphabet, Meta, Microsoft, Amazon, Nvidia, Broadcom, and SpaceX, represents a 32% increase from the $3.12 trillion reported at the end of August. When including commitments based on media reports rather than formal filings, the total climbs to $4.29 trillion.

These obligations—ranging from uncommenced leases and purchase commitments to guarantees—dwarf the companies’ on-balance-sheet debt and lease liabilities of roughly $1 trillion. In other words, for every dollar of debt on the books, there is more than four dollars of hidden commitments. And the number is likely to grow: Nvidia, Oracle, and Broadcom have yet to report their latest quarters.

Market Implications

The rapid accumulation of off-balance-sheet liabilities is already rattling markets. The Nasdaq 100 has shed over $1.2 trillion in market value this month, with Alphabet experiencing a record single-day plunge and Amazon under pressure following its earnings release. Meta’s credit default swaps hit an all-time high after its Q3 report, prompting the company to announce up to $95 billion in equity financing, of which $37.5 billion has been completed.

Investors are increasingly focused on the opacity of these commitments. Rating agencies are not aligned: S&P adjusts leverage for off-balance-sheet leases, while Moody’s and Fitch do not. Goldman Sachs’ chief credit strategist Amanda Lynam warns that potential changes in rating methodologies could trigger further volatility. Needham notes that incorporating off-balance-sheet liabilities would boost Meta’s enterprise value by 35%.

The structure of these commitments reveals three main components: uncommenced leases ($1.39 trillion), purchase commitments ($2.25 trillion), and guarantees ($273 billion). The surge is driven by the AI infrastructure arms race, with companies locking in future cloud capacity and data center space to secure computing power. However, if AI demand normalizes faster than expected, these commitments could become burdensome.

Key Takeaways for Investors

  • Hidden leverage is mounting: The true financial obligations of AI leaders are far larger than their balance sheets suggest, posing risks if growth slows.
  • Market repricing is underway: Equity and credit markets are beginning to penalize companies with heavy off-balance-sheet exposure, as evidenced by Meta’s CDS spike and equity raise.
  • Watch for rating actions: A harmonization of rating agency methodologies could lead to downgrades and higher borrowing costs.
  • Focus on cash flow: Companies with strong operating cash flow, like Meta, can manage these commitments, but those with negative free cash flow, like Alphabet, may face tougher choices.

As the next earnings season approaches, investors should scrutinize 10-Q filings for updates on these commitments. The question is whether AI commercialization revenues can catch up before the next wave of obligations comes due.
